Terms of Service

These Terms of Service ("Terms") govern your access to and use of Revasyn LLC's software platform, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account or using any part of the Service, you represent that you are at least 18 years old, have the authority to enter into these Terms on behalf of your practice or organization, and agree to comply with all applicable laws and regulations.

2. Description of Service

Revasyn provides a practice growth platform designed for hearing healthcare professionals, including audiologists, hearing instrument specialists, and ENT-affiliated clinics. The Service includes marketing ROI tracking, referral network management, branded collateral creation, administrative templates, selling skills tools, community event planning, and practice audit features.

Revasyn is a business growth and marketing tool only. It is not a clinical tool, electronic health record (EHR), or medical device, and is not intended to replace or supplement clinical decision-making.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at cpoole@revasyn.com if you suspect unauthorized access.

4. Subscription and Billing

Revasyn offers paid subscription plans billed on a monthly basis. By subscribing, you authorize Revasyn to charge your payment method at the applicable rate on a recurring basis until you cancel.

5. Revasyn Signal — SMS Messaging Program

Program name: Revasyn Signal

Program description: Revasyn Signal is an SMS messaging platform that enables hearing healthcare practices to send text messages to patients and leads who have opted in. Messages include appointment reminders, recall and recare notices, follow-up communications, and general practice updates.

Message frequency: Message frequency varies based on practice communication needs. End users may receive multiple messages per month (e.g., appointment reminders, recall notices, follow-ups).

Message and data rates: Standard message and data rates from your wireless carrier may apply to messages sent or received through this program.

Opt-in: End users consent to receive messages when they provide their phone number to a hearing practice — through an in-office intake form with SMS consent language, a website contact form with a consent checkbox, or by sending the first text message to the practice's number.

Opt-out: You can stop receiving messages at any time by replying STOP to any message. You will receive a one-time confirmation and will not receive further messages from that practice.

Privacy: Phone numbers and message content collected through Revasyn Signal are not sold, shared with, or used by third parties for marketing purposes. See our Privacy Policy for full details.

7. HIPAA Notice

Revasyn is a marketing and business operations platform. You are solely responsible for ensuring that any information you enter into the Service does not include individually identifiable health information (PHI) as defined under HIPAA unless you have executed a separate Business Associate Agreement (BAA) with Revasyn. 8. Intellectual Property

All software, content, trademarks, and materials comprising the Service are owned by or licensed to Revasyn LLC. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription. Nothing in these Terms transfers any ownership rights to you.

Content you create using the Service (such as collateral designs and audit reports) remains your property. You grant Revasyn a limited license to store and display that content solely to provide the Service.

9. Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public information and not to disclose it to third parties without prior written consent, except as required by law.

9a. Vendor / Manufacturer Visibility

Your practice's data is private by default. Hearing-aid manufacturers and other vendors ("Vendors") on the Revasyn network see no data about your practice unless and until one of the following three conditions is true at the time of the access:

  1. Active loan account. The Vendor has an active loan or financing arrangement with your practice (e.g. equipment loan, practice acquisition, startup loan). Visibility ends automatically when the loan is marked paid off, refinanced, defaulted, or cancelled in Revasyn.
  2. Co-op subscription funding ≥ 50%. The Vendor has applied co-op marketing credits totaling at least fifty percent (50%) of your Revasyn subscription payments over the trailing twelve (12) months. Once their funding share drops below 50% over the trailing window, visibility ends automatically.
  3. Explicit data-share grant. You have affirmatively granted the Vendor access from your Vendor Partnerships → Data Sharing dashboard. Grants may be indefinite or time-limited at your option, and you may revoke any grant at any time without notice and without cause.

When at least one of the three conditions above is satisfied, the Vendor's data access is limited as follows:

Revasyn does not charge Vendors a per-seat or subscription fee for accessing your data. Vendor access is conditioned solely on the three criteria above. Revasyn does not sell, license, or otherwise transfer your patient data, financial details, or competitive performance data to Vendors or any third party.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Revasyn does not warrant that the Service will be uninterrupted, error-free, or free of viruses. Business results described in marketing materials are illustrative and are not guaranteed.

11. Limitation of Liability

To the maximum extent permitted by law, Revasyn's total liability for any claim arising from or related to the Service shall not exceed the amount you paid to Revasyn in the three months preceding the claim. In no event shall Revasyn be liable for indirect, incidental, special, consequential, or punitive damages.

12. Termination

You may cancel your subscription at any time through your account settings. Your access will continue through the end of the current billing period. Revasyn may suspend or terminate your account for violation of these Terms, with or without notice.

13. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in North Carolina, and you consent to the jurisdiction of those courts.

14. Changes to Terms

Revasyn may update these Terms at any time. We will notify you of material changes by email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
